Terms of Service

1. Services

Bankai Agency provides digital marketing services including but not limited to: paid advertising management, SEO, content creation, design, web development, marketing automation, and strategy consulting. The specific scope of services for each engagement is defined in a separate Service Agreement signed between Bankai and the client.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using our services, you represent that you meet these requirements.

3. Client responsibilities

When engaging Bankai for services, the client agrees to:

• Provide accurate, complete information necessary for us to perform services
• Grant timely access to required platforms (Google Ads, Analytics, social accounts, hosting)
• Pay invoices according to agreed terms
• Notify us promptly of any issues, errors, or changes in business circumstances
• Comply with all applicable laws including advertising standards (Google Ads Policies, Meta Ads Policies, FTC guidelines)

4. Acceptable use

You agree NOT to use our services or website to:

• Engage in illegal or fraudulent activity
• Promote misleading, deceptive, or harmful products
• Violate intellectual property rights of third parties
• Attempt unauthorized access to our systems or accounts
• Reverse-engineer, scrape, or copy our proprietary methodologies for resale

5. Intellectual property

• Client content: Content you provide remains your property. You grant us a non-exclusive license to use it for service delivery.
• Bankai work product: Deliverables (designs, code, campaigns) become client property upon full payment, except for proprietary frameworks, tools, and methodologies that remain Bankai's intellectual property.
• Website content: All content on bankai.agency is the property of Bankai Agency and protected by copyright. You may not reproduce without permission.

6. Compensation

Compensation models vary by engagement and are defined in the Service Agreement:

• Fixed monthly retainer
• Performance-based / revenue share
• Hourly billing
• Project-based pricing

All fees are non-refundable except as expressly stated in the Service Agreement.

7. Confidentiality

Both parties agree to keep confidential information shared during engagement private. This obligation continues for 3 years after engagement ends.

8. Warranties and disclaimers

We provide services with reasonable care and skill but do not guarantee specific outcomes (e.g., specific revenue, ranking, or conversion targets) unless explicitly stated in writing in the Service Agreement.

The website and services are provided "AS IS" without warranties of any kind, express or implied.

9. Limitation of liability

To the maximum extent permitted by law, Bankai's total liability to any client shall not exceed the fees paid by that client during the 6 months preceding the event giving rise to the claim.

We are not liable for:

• Loss of profits, revenue, or business opportunities
• Indirect, incidental, or consequential damages
• Issues caused by third-party platforms (Google Ads suspensions, Meta account disabling, etc.)
• Force majeure events

10. Termination

Either party may terminate the engagement with 30 days' written notice unless otherwise specified in the Service Agreement. Outstanding fees become immediately due upon termination.

11. Governing law

These Terms are governed by the laws of the Republic of Kazakhstan. Any disputes shall be resolved in the courts of Almaty, Kazakhstan, unless otherwise agreed.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to active clients. Continued use of services after notification constitutes acceptance.
